6. Confidentiality and Non-Disclosure

Limitation of Damages

Our total liability for any claims is limited to:

  • The amount paid by client in the 12 months preceding the claim
  • Direct damages only (no consequential or indirect damages)

8. Termination and Cancellation

Termination by Recor Marketing

We may terminate the agreement for:

  • Non-payment after 45 days past due
  • Breach of terms that remains uncured after 15 days notice
  • Illegal activities or violations of platform policies
  • Failure to provide necessary cooperation or information

Effects of Termination

Immediate Actions

  • Service delivery stops on the effective date
  • Access to shared accounts and systems is revoked
  • Final invoicing for services rendered
  • Return of confidential information

Survival Clauses

The following provisions survive termination:

  • Payment obligations for services rendered
  • Confidentiality agreements
  • Intellectual property rights

9. Dispute Resolution

We prefer to resolve disputes amicably but have established procedures for formal resolution when necessary.
